These Terms of Service govern your access to and use of ExpertLayer, including our website, target review offers, dream target analysis, managed outbound services, campaign support, reports, recommendations, and related services.
By using ExpertLayer, submitting information through our website, requesting a target review, purchasing services, or otherwise engaging with us, you agree to these Terms.
If you are using ExpertLayer on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
ExpertLayer helps companies identify likely-fit prospects, develop outreach angles, and run managed outbound campaigns.
Our services may include:
ExpertLayer is a managed service. We are not a CRM, employment agency, recruiting firm, lead broker, law firm, compliance consultancy, financial advisor, or sales agency.
ExpertLayer may offer free or low-cost website reviews, target reviews, dream target analysis, sample account maps, or similar introductory services.
These offers are provided at our discretion and may be changed, limited, paused, or discontinued at any time.
A free review or sample analysis does not guarantee that:

You are responsible for the information, instructions, approvals, and materials you provide to ExpertLayer.
You agree that you will:
You are responsible for your own business decisions, sales process, customer relationships, and use of any ExpertLayer output.
ExpertLayer may send business-to-business outreach emails on behalf of itself or its customers.
You agree that campaigns must comply with applicable email, privacy, anti-spam, consumer protection, and unfair competition laws.
You may not use ExpertLayer to knowingly send outreach that is:
ExpertLayer may include unsubscribe instructions, suppression handling, sender information, physical mailing information, or other compliance language in campaigns.
ExpertLayer may pause, throttle, modify, or stop a campaign if we believe it may create deliverability, compliance, privacy, platform, reputational, or operational risk.
ExpertLayer may use dedicated or shared sending infrastructure to operate outbound campaigns. This may include secondary domains, email accounts, inboxes, DNS records, warming infrastructure, email service providers, deliverability tools, tracking tools, and related technical systems.
Unless otherwise agreed in writing, any secondary domains, email accounts, inboxes, DNS configurations, sender accounts, warming infrastructure, or other sending infrastructure provisioned, paid for, or managed by ExpertLayer remain the property and operational responsibility of ExpertLayer.
Upon cancellation, termination, non-payment, or conclusion of services, ExpertLayer may suspend, decommission, delete, repurpose, or retain such infrastructure at its discretion, unless a separate written agreement states otherwise.
ExpertLayer does not guarantee that any domain, inbox, email account, or sender identity will remain available after services end.
ExpertLayer does not guarantee specific deliverability, inbox placement, sender reputation, or platform acceptance. You understand that outbound execution may involve deliverability risks, domain reputation risks, inbox reputation risks, and brand perception risks.
To the fullest extent permitted by law, ExpertLayer is not responsible for indirect, downstream, incidental, reputational, business, or brand-related effects arising from lawful outbound execution performed under an approved campaign framework or customer-provided instructions.
If a customer requests use of customer-owned domains, customer-owned inboxes, or customer-controlled infrastructure, the customer remains responsible for approving that use and for any internal, brand, IT, security, legal, or domain-reputation implications associated with that decision.

You understand that outbound performance depends on many factors outside our control, including market timing, offer strength, list quality, deliverability, sender reputation, target relevance, prospect interest, competition, and follow-up execution.
ExpertLayer may use third-party tools, vendors, data providers, enrichment services, validation services, email infrastructure, analytics tools, AI systems, and workflow platforms to provide the services.
These may include tools for:
Third-party data may be incomplete, outdated, inaccurate, duplicated, or mismatched. ExpertLayer uses reasonable review and quality-control processes, but we do not guarantee the accuracy of any third-party data, public-source data, enrichment output, or AI-generated analysis.
You authorize ExpertLayer to use third-party tools and service providers as reasonably necessary to provide the services.
ExpertLayer may use AI-assisted tools to research accounts, summarize companies, identify patterns, draft outreach, generate target recommendations, classify replies, or improve workflows.
AI-assisted outputs may contain errors, omissions, outdated information, unsupported inferences, or language that requires human review.
ExpertLayer uses human review and quality-control processes where appropriate, but you remain responsible for reviewing and approving your business use of any output we provide.
You should not treat ExpertLayer outputs as legal, financial, tax, investment, compliance, employment, or professional advice.
ExpertLayer may ask you to review or approve campaign templates, targeting criteria, target account types, excluded categories, data parameters, messaging frameworks, sender identity, compliance language, or other campaign settings.
Once you approve a campaign framework, authorize launch, provide approval by email or other written communication, or allow a campaign to continue after receiving campaign materials or previews, ExpertLayer may rely on that approval to execute the campaign.
Approval of a campaign framework includes approval for ExpertLayer to generate and send variations, dynamic lines, account-specific personalization, AI-assisted text, follow-up language, and operational adjustments that are consistent with the approved strategy, targeting criteria, data parameters, and messaging framework.
ExpertLayer is not liable for campaign variations, dynamic text, AI-assisted outputs, or personalization executed within an approved campaign framework, except to the extent caused by ExpertLayer's willful misconduct or other liability that cannot be limited by law.
If you identify any error, concern, exclusion, conflict, or required change, you must notify ExpertLayer promptly. ExpertLayer may pause or adjust future execution after receiving notice, but previously sent messages or completed campaign actions cannot be reversed.
If you do not provide requested approvals, feedback, access, data, or instructions, campaign timing and service delivery may be delayed. Such delays do not automatically pause billing or create refund rights unless otherwise agreed in writing.
You retain ownership of materials you provide to ExpertLayer, such as your business descriptions, website content, ICP descriptions, customer criteria, exclusion lists, campaign instructions, and approved messaging.
You grant ExpertLayer a limited right to use those materials as needed to provide, operate, support, secure, and improve the services.
If you approve campaign messaging, target criteria, or other materials, ExpertLayer may rely on that approval.
Unless otherwise agreed in writing, after you pay all applicable fees, you may use the campaign copy, target maps, outreach angles, reports, and recommendations that ExpertLayer creates for your internal business purposes and sales or marketing efforts.
ExpertLayer retains ownership of its underlying methods, prompts, workflows, templates, software, systems, quality-control processes, automation configurations, methods, research methods, campaign operations, deliverability processes, know-how, and generalized learnings.
ExpertLayer may reuse generalized, de-identified, or non-confidential learnings to improve its services, provided those learnings do not identify a specific customer, individual prospect, or confidential customer information.
You may not reverse engineer, document, reproduce, commercialize, or replicate ExpertLayer's proprietary workflows, automation configurations, software interfaces, processes, quality-control processes, prompt sequences, campaign systems, or operational methods for the purpose of building an internal replacement system, competing system, or substantially similar service.
Each party may receive non-public information from the other party.
Confidential information may include business plans, customer information, prospect lists, campaign strategy, pricing, financial information, technical information, data files, internal processes, or other information that should reasonably be understood to be confidential.
Each party agrees to use the other party's confidential information only for purposes of the relationship and to protect it using reasonable care.
Confidential information does not include information that is publicly available, independently developed, lawfully received from a third party, or already known without a confidentiality obligation.
We may disclose confidential information if required by law, subpoena, court order, or legal process, provided we use reasonable efforts to notify the affected party when legally permitted.
If you purchase a paid ExpertLayer subscription or service, you agree to pay the fees described at checkout, in an order form, in an invoice, or in another written agreement.
Unless otherwise stated in writing:
You acknowledge that effective outbound execution may require technical onboarding, infrastructure setup, DNS configuration, deliverability preparation, data review, campaign preparation, inbox warming, and other operational work before full campaign volume begins.
This onboarding and technical warmup period may take approximately 14 to 30 days, and sometimes longer depending on the customer's requirements, technical setup, approvals, data readiness, or third-party platform behavior.
Subscription fees are due during onboarding, setup, technical warmup, campaign preparation, and deliverability preparation periods. Delays caused by technical normalization, DNS propagation, inbox warming, third-party systems, customer review, customer approvals, customer data readiness, or customer delay do not pause the billing cycle or entitle the customer to refunds, credits, or extensions unless otherwise agreed in writing.
If a separate written order form, statement of work, or subscription agreement applies, that document controls if it conflicts with these Terms.
ExpertLayer is an evolving service. We may modify, improve, limit, suspend, or discontinue parts of the website or services at any time.
We do not guarantee uninterrupted availability, error-free operation, or compatibility with every third-party tool, platform, browser, email provider, or customer workflow.
We may perform maintenance, change vendors, update workflows, or modify service delivery methods as needed.
You may not use ExpertLayer to:
We may suspend or terminate access if we believe these Terms have been violated.

By using ExpertLayer, you also agree to our Privacy Policy.
If you provide information about third parties, including business contacts or prospects, you are responsible for ensuring you have the right to provide that information and that your use of ExpertLayer complies with applicable law.
ExpertLayer may rely on or link to third-party websites, tools, services, data providers, payment processors, email platforms, analytics tools, or other providers.
We are not responsible for third-party services, websites, data, content, policies, outages, or errors.
Your use of third-party services may be governed by their own terms and privacy policies.
ExpertLayer is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, ExpertLayer disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.
We do not warrant that the services will meet your requirements, produce any particular outcome, or be uninterrupted, secure, accurate, or error-free.
To the fullest extent permitted by law, ExpertLayer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, lost data, business interruption, loss of sender reputation, domain reputation impact, inbox reputation impact, brand perception impact, or reputational harm.
To the fullest extent permitted by law, ExpertLayer's total liability for any claim arising out of or relating to the services or these Terms will not exceed the amount you paid to ExpertLayer for the services giving rise to the claim during the three months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
You agree to indemnify and hold harmless ExpertLayer and its owners, employees, contractors, service providers, and representatives from claims, damages, liabilities, costs, and expenses arising from:
ExpertLayer will promptly notify you of any claim for which we seek indemnification and will allow you to control the defense where appropriate, provided you do not settle in a way that imposes obligations on ExpertLayer without our consent.
You may stop using ExpertLayer at any time.
We may suspend or terminate access to the website or services if:
Upon termination, ExpertLayer may stop campaign activity, suspend service delivery, revoke access to any systems, and decommission or retain campaign infrastructure as described in these Terms.
Sections that by their nature should survive termination will survive, including provisions about fees, ownership, confidentiality, privacy, disclaimers, limitation of liability, indemnification, and governing law.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the services will be brought in the state or federal courts located in Travis County, Texas, unless applicable law requires otherwise.
You and ExpertLayer consent to the personal jurisdiction and venue of those courts.
We may update these Terms from time to time.
If we make material changes, we will update the effective date above and may provide additional notice where appropriate.
Your continued use of the website or services after updated Terms are posted means the updated Terms apply going forward.
